1. About these Terms
Lakewood Circuit is operated by Lakewood Circuit ("Lakewood Circuit", "we", "us"), based in Lakewood, New Jersey. These Terms are the agreement between us and you: the business that advertises with us, and anyone who uses an account on our site.
By creating an account, submitting an ad, or paying for advertising, you accept these Terms. If you are agreeing on behalf of a business, you confirm you are authorized to bind that business. If you do not accept these Terms, please don't use the service.
2. What the service is
We run an advertising network on screens inside OUTWORQ locations. An approved ad plays in a continuous loop on the computer screens and the display screens at those locations, in between free community slides such as zmanim, the Jewish calendar, weather, and community announcements.
The locations are independent businesses that host our screens. We don't own them. The number of locations, the screens at any location, and their opening hours can change.
3. Your account
- You must be at least 18 years old and advertising for a real, lawful business.
- Give us accurate account and contact details, and keep them current.
- Keep your password to yourself. You are responsible for everything done through your account, including by people you add to it.
- Tell us promptly if you think someone else has gained access.
- One account per business, unless we agree otherwise.
4. What it costs
- Advertising: $100 per week per advertiser to run in the loop, unless we agree a different price with you in writing.
- Making the ad is separate, and charged once. Submit your own artwork at no charge, or have our designer build it for $75 ($150 with custom animation).
- Creative fees pay for the work itself. They are not part of the weekly price, and once the work has been done they are not refundable.
- Prices are in U.S. dollars and don't include any tax that may apply.
5. Weekly billing, auto-renew, and cancelling
- Your ad goes live once it is approved and paid.
- Advertising is billed weekly. By putting a card on file, you authorize us and our payment processor to charge the weekly price at the start of each week until you stop it.
- Auto-renew is on by default, and we email you before a renewal. If you turn auto-renew off, we email to ask whether you want another week, and your ad stops at the end of the paid week unless you renew.
- You can pause, cancel, or switch auto-renew off yourself at any time in your dashboard, or by replying to any email from us. No contract, no cancellation fee.
- Cancelling stops future billing. It does not refund the week you are already in. Your ad runs to the end of the week you paid for, and then stops.
- If a payment fails, we'll email you and may pause your ad until the card is updated.
- Any credit, free week, or promotional code we issue has no cash value and can't be transferred.
6. Review and approval
Every ad is reviewed by a person before it runs. We may approve an ad, ask you for a change, reject it, resize or reformat it so it displays correctly, pause it, or remove it, at any time and at our sole discretion. We don't have to give a reason, though we usually will.
- If we reject an ad before it runs, you owe nothing for advertising.
- If we pause or remove an ad because it breaks these Terms or the content standards below, no refund is due for that week.
- If we remove your ad for our own reasons, and not because of anything you did wrong, we'll refund or credit the unused part of the week.
Approval means we think the ad fits our screens and our community. It is not legal advice, and it is not our confirmation that your ad is accurate, substantiated, or lawful. That stays your responsibility.
7. Content standards
Every ad must meet our content standards. Those standards reflect the communities where the screens are located, and they apply equally to everyone. An ad may not:
- show women or girls, or use romantic imagery or wording;
- be offensive or degrading, or set out to embarrass a person or a business;
- be misleading or exaggerated, or make a claim, price, or discount you can't back up;
- promote anything unlawful, or a service that needs a license or registration you don't hold;
- use another business's name, logo, or artwork without permission, or otherwise infringe someone's rights;
- imply an endorsement by Lakewood Circuit, by OUTWORQ, or by a host location that you haven't been given;
- include code, scripts, links, or media that could harm a screen or a viewer's device;
- ask viewers to enter personal information, or fall into a category we've told you we don't accept.
8. Your promises about your ad
Each time you submit, edit, or renew an ad, you represent and warrant that:
- you own, or hold a valid license to use, everything in it: text, images, video, music, fonts, logos, business names, and any person's name or likeness;
- the ad and the offer behind it are truthful and not misleading, and you hold the evidence for every claim, price, comparison, or discount in it;
- the ad complies with applicable law, including New Jersey and federal advertising, consumer-protection, and industry disclosure and licensing rules;
- it infringes no third party's intellectual property, privacy, or publicity rights;
- you'll honor any offer, price, or discount in the ad for as long as it runs.
The license you give us. So that we can run your ad, you grant us a non-exclusive, royalty-free license to store it, resize or reformat it for technical fit, and display it on the screens in our network and in the live loop shown on our own website, for as long as it runs plus a short period afterwards for our records. You keep ownership of your content. We won't use your ad as a sample of our work, or name you as an advertiser in our marketing, without asking you first.
9. Your indemnity
You agree to defend, indemnify, and hold harmless Lakewood Circuit, its owners, staff, and contractors, and the businesses that host our screens, against any claim, demand, loss, penalty, or cost (including reasonable legal fees) arising out of your ad, the offers in it, your business, or your breach of these Terms. We'll notify you promptly of any such claim and cooperate with you; you may not settle a claim in a way that imposes an obligation on us without our written consent.
10. What we don't promise
- We don't guarantee any number of views, impressions, inquiries, customers, sales, or any other result.
- We don't guarantee a number of screens or locations, that any particular location will carry your ad, or that a location will stay in the network.
- We don't guarantee your position or order in the loop, or how often it comes around.
- We don't guarantee uninterrupted display. Screens depend on power, internet service, and a host's opening hours, and can be off or offline.
- We currently keep the loop to a limited number of advertisers at a time. That's how we operate today, not a commitment about the number of advertisers in the future.
- Any exposure or audience figure we ever discuss is an estimate, not a promise.
- Except for warranties the law won't let us disclaim, the service and the screens are provided "as is" and "as available", without warranty of any kind, including any implied warranty of merchantability or fitness for a particular purpose.
11. Limit of our liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost goodwill, even if we were told such losses were possible. Our total liability to you, for all claims together, is limited to the amount you actually paid us in the 30 days before the event that gave rise to the claim. Some states don't permit certain limits or exclusions; where that's the case, these limits apply as far as they legally can and no further.
12. Price changes
We may change the weekly price or the creative fees. If a change affects advertising you already have running, we'll email the address on your account at least 14 days beforehand, and the new price takes effect from your next renewal. If you'd rather not continue at the new price, turn off auto-renew or cancel before that date.
13. Suspension and ending the agreement
You can stop at any time by cancelling. We may suspend or close your account, or remove your ads, if you breach these Terms or the content standards, if a payment fails and isn't fixed, if we're required to by law, or if we stop offering the service. Where the reason isn't a breach by you, we'll refund or credit the unused part of the week you paid for. Sections 8, 9, 10, 11, and 14 continue to apply after the agreement ends.
14. Other terms
- Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
- Where disputes are heard. The state and federal courts located in Ocean County, New Jersey have exclusive jurisdiction, and we both consent to venue and personal jurisdiction there. Before that, please contact us. Nearly everything is settled with an email.
- Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms stay in force.
- No waiver. If we don't enforce something straight away, we don't give up the right to enforce it later.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it to a successor of our business.
- Independent businesses. Nothing here creates a partnership, joint venture, employment, or agency relationship between us.
- Entire agreement. These Terms, together with the prices and order details shown to you at signup and our Privacy Policy, are the entire agreement between us about advertising on Lakewood Circuit, and they replace any earlier discussions or proposals.
15. Changes to these Terms
We may update these Terms. For any significant change we'll email the address on your account and post the new effective date at the top of this page at least 14 days before it applies to your next renewal. Continuing to advertise after that date means you accept the updated Terms. Minor clarifications take effect when posted.
